Welcome to Cosmic. This document outlines the Terms and Conditions (the "Terms") which you agree to when using our services. Please read these Terms carefully before accessing or using our services.
For the purposes of these Terms, "Cosmic" refers to the following entity:
Cosmic Limited, a company incorporated and operating in Hong Kong.
By using any service provided by Cosmic, you acknowledge and agree to these Terms. These terms and conditions govern your use of the Cosmic platform, accessible via https://www.cosmic-vision.co, including its mobile, tablet versions, and any other version accessible via desktop, mobile, tablet, social media, or other devices. By using the platform, you agree to be bound by these terms and conditions and our privacy policy. In these terms and conditions, "platform" refers to the Cosmic platform; "we", "us", "our", and "Cosmic" refer to Cosmic Limited; and "user", "customer", "client", "you", and "your" refer to you, the user of Cosmic.
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OR OBTAINING ANY SERVICE OR INFORMATION FROM THE PLATFORM.
By registering and using the platform, you agree to be bound by this agreement. If you do not agree to the terms of this agreement, you must not use the platform and stop using the service immediately. We may modify this agreement from time to time, and such modification will be effective when posted on the platform or website. You agree to be bound by any modification of these terms when you use Cosmic after such modification is posted; therefore, it is important that you review this agreement regularly.
You represent and warrant that your use of the platform does not violate any applicable law or regulation. Cosmic may, in its sole discretion, refuse to offer the services to any user and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the service and the platform is revoked in such jurisdictions.
The platform may only be used in compliance with these terms and all applicable local, state, national and international laws, rules and regulations.
By registering and using the platform, you represent and warrant that you have the full right, power and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are under no legal disability or contractual restriction that prevents you from entering into this agreement.
If you register on the platform, you will be asked to choose a password and may be asked for additional information such as your name and email address. You are responsible for maintaining the confidentiality of your password and account information, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Cosmic of any unauthorized use of your account or any other breach of security, and (b) ensure that you log out of your account at the end of each session. You may never use another user's account without Cosmic's prior authorization. Cosmic will not be liable for any loss or damage arising from your failure to comply with this agreement.
By providing Cosmic with your email address and phone number, you agree that we may use your email address to send you notifications, important communications about our services, news and special content. We may also use your email address and phone number to send you notifications via SMS messages, such as changes to service features, news and special content. If you do not wish to receive these emails or SMS messages, you may opt out of receiving them by sending us your request through our contact information or by using the "unsubscribe" option in emails or by replying with the word "STOP" to SMS messages. Users can select not to receive notifications through their profile and account settings.
Users may cancel their accounts at any time and for any reason by following the instructions on the platform or by sending us their request through our contact information. Such cancellation will only result in the deletion of the account and the removal of all personal data transferred to Cosmic.
Cosmic reserves the right to immediately terminate your account or your access to the platform and to terminate this agreement unilaterally, with or without notice, and without liability to you, if Cosmic believes that you have breached any of these terms, provided Cosmic with false or misleading information, or interfered with any other party's use of the platform or the service.
Cosmic provides managed advertising services and access to advertising accounts across various platforms (such as Facebook, TikTok, Snapchat, Google, etc.). Through their user accounts, clients can manage their advertising campaigns, top-ups, balances, invoices, and access educational materials.
Service Fees: Instead of a fixed subscription, Cosmic's service fees are structured based on the specific advertising platform(s) and the scope of services required by the client. All applicable fees, including any management fees or commissions on ad spend, will be communicated to you individually and agreed upon prior to the commencement of services or any service change. Cosmic reserves the right to adjust its service fees with prior notice to the client.
Ad Account Top-ups: We top up users’ advertising accounts according to their campaign budgets. Commission rates for top-ups may vary by advertising platform and will be detailed in your service agreement. Cosmic reserves the right to modify these commission rates with advance notice to the client. Each advertising account may be subject to a minimum top-up requirement, which will be disclosed before activation.
Please note that funds deposited into any advertising account are non-refundable. Cosmic reserves the right not to offer any type of credit to the user.
Payments for service fees and advertising account top-ups shall be made as agreed in the service proposal or invoice. Cosmic utilizes third-party payment processors (such as Airwallex) to handle all transactions. Clients are responsible for any transaction fees incurred during payment.
Your payment information will be processed and stored securely by our payment partners for the sole purpose of processing transactions. Cosmic reserves the right to engage any commercially available payment platform.
If a payment is declined, you will need to provide an alternative payment method. Cosmic may suspend access to services and advertising accounts until outstanding payments are successfully processed.
In the event of a payment dispute, Cosmic reserves the right to freeze the client's advertising account balance and may terminate cooperation immediately. Clients intending to dispute a charge must contact [email protected] and can expect a response within 5 business days.
The intellectual property rights to the platform and the content available on the platform belong exclusively to Cosmic. Any unauthorized use of the methods or content may result in violations of Cosmic's intellectual property rights.
Cosmic grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the platform provided to you as part of the services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the services as provided by Cosmic, in the manner permitted by these terms. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
The user agrees not to use the platform and the services negligently, for fraudulent purposes or in an unlawful manner. Likewise, the user agrees not to partake in any conduct or action that could damage the image, interests or rights of the Cosmic platform or third parties.
This service prohibits sending of messages that: (1) Are considered SPAM; (2) Are harassing, abusive, defamatory, obscene, in bad faith, unethical or otherwise illegal; (3) Distribute trojans, viruses or other malicious computer software; (4) Contain political or religious propaganda; (5) Contain obscene or offensive content; (6) Intend to commit fraud, impersonate other persons, phishing, scams, or related crime; (7) Distribute intellectual property without ownership or a license to distribute such property; (8) Breach, in any way, these terms of service.
Cosmic reserves the right to terminate your access immediately, with or without notice, and without liability to you, if Cosmic believes that you have violated any of these terms.
By using the platform and our services, you accept personal responsibility for the results of your advertising campaigns. You agree that Cosmic does not guarantee any specific results, profits, or return on investment from campaigns published through our services. You acknowledge and agree that the ultimate success or failure of your campaigns will be the result of your own efforts, your specific content, your market situation, and numerous other circumstances beyond Cosmic's control.
The content available on the platform (such as educational guides) is for informational purposes only. Cosmic does not guarantee the results of actions advised by this content.
Information provided by our clients through our services, including trade secrets and advertising strategies, will be treated as confidential information and used solely for the purpose of providing our services. Cosmic will protect such confidential information from disclosure to third parties by employing a reasonable degree of care. Confidential information will not be disclosed to third parties without the prior written consent of the client. Confidential information shall remain protected after the termination of the agreement.
All materials on the Cosmic platform, including names, logos, trademarks, text, graphics, illustrations, and software, are protected by copyrights and other intellectual property rights owned by Cosmic or its licensors. You may not copy, reproduce, republish, sell, or distribute any materials without Cosmic's prior express written permission.
Service Fees: Fees paid for Cosmic's management services are non-refundable.
Ad Account Balances: Clients may request a refund of their unspent ad account balance, provided a minimum of $15 has been spent on the ad accounts. Requests for refunds should be directed to your account manager. Cosmic commits to processing such refunds within 15 business days, though this may extend to 30 business days in exceptional cases due to supplier delays. Clients are responsible for any transaction fees incurred during the refund process, and refunds will be issued to the original payment method.
The user agrees that any dispute arising out of or relating to these terms shall be resolved by binding arbitration between the user and Cosmic, in accordance with applicable commercial arbitration rules. The courts of Hong Kong shall have jurisdiction over any dispute, controversy, or claim relating to Cosmic and its business operations.
